Mr. Daniel Harple

Prior to co-founding GeoSolutions, Mr Harple was Founder, Chairman and CEO of Context Media Inc., an enterprise software firm he founded in 1999. Context Media as acquired by Oracle Corporation in 2005. Previously, Mr Harple's efforts centered on media technologies in a new company, Context Labs, which he co-founded. Prior to this, he pioneered key Internet media and collaboration technlogies as a Senior Vice President at Netscape Communications and as a Founder & CEO of InSoft, which merged with Netscape in 1996.
Mr. Jeffrey Crevoiserat

Mr. Crevoiserat is the Chairman and a co founder of Octagon Holdings LLC. Mr. Crevoiserat is also CEO of Octagon Process Inc. Mr. Crevoiserat was employed by the international accounting and management-consulting firm of Ernst and Young for ten years, and held the position of Senior Manager when he left the firm. Mr. Crevoiserat was employed as a Senior Manager and Executive for Grant Thornton in their Los Angeles office for a further period of three years before he and Mr. Katzen formed Octagon. Mr. Crevoiserat is a certified public accountant and holds a Masters of Business Administration degree with a concentration in finance from Tulane University (1981). He also holds a Bachelor of Arts degree with a concentration in Economics from Tulane (1980).
Mr. Juha Kiikeri

Mr. Kiikeri B.Sc. (Econ.), has strong investment banking and venture capital background. He has also worked about 20 years in different position in ICT-technology area.
Mr. Michael Vucekovich

Mr Vucekovich has been a Partner of private investment group Octagon Capital Ltd since 2004. Between 1999 and 2004 he was a Founding Partner of Target Research and Management, where he was responsible for the origination and execution of private investments, as well as the management of the firm's equity hedge fund. Prior to co-founding Target Research, he was a member of Wedbush Morgan's Institutional Equities Group in Los Angeles. Previously he was employed at Bateman Eichler and Kemper Securities.
Mr. David Francis
DOB August 4, 1969

David began his career with Natwest in 1987 and remained with the company for 17 years in a variety of senior positions. He is a Past President of the Chartered Institute of bankers and a Fellow of the CIB and Securities Institute.
David is now a shareholder and director of a Jersey based financial services group and also a property development company in Poland founded by him. David is also a board director of a shipping company, mezzanine finance joint venture and media fund.
Mr. Gary Bellot

A native of Jersey, Gary's experience in the offshore finance industry spans twenty years. He commenced his career in finance in 1981 with Kleinwort Benson (Channel Islands) Ltd before moving to Royal Bank of Canada (Jersey) Ltd in 1989.
At Royal Bank of Canada, he was a member of the European Global advisory panel and was responsible principally for International High Net worth clients. He was an active member of the Jersey Branch of the Securities Institute were he held various positions until his retirement in 1999.
In 1998 he was appointed a Director of Fleming (Jersey) Trustees Ltd where he was responsible for the Offshore Trust unit and for the creation of an investment capability and for the development of a number of offshore products.
In April 2000 he set up Horizon, an international financial services group and holds the position of Managing Director. The company has offices in Jersey, Switzerland, Poland and Cyprys and looks after High Net worth individuals and large corporate clients.
The evaluation of independence showed that the Executive Chairman Daniel Harple and all Board Members are dependent on the Company. Daniel Harple, representing GeoHolding BV., is the co-founder of GeoSolutions. After the implementation of the decisions of the EGM convened on September 10, 2007, GeoHolding will be the leading shareholder of the Company. David Francis and Gary Bellot, representing investor group Horizon House, and Jeffrey Crevoiserat and Michael Vucekovich, representing Octagon Group, are currently the biggest shareholders of the Company. Juha Kiikeri was recently employed by the Company and currently has a consulting relationship with the Company.
Deviation from the Corporate Governance Recommendation: Item 17 of the Corporate Governance Recommendation states that the majority of the Board Members should be independent of the company, which is not the current situation because of extent of business and ownership structure.
